Terms Junctura Finance

This is a translation of the German terms (AGB). Only the German version is legally binding.

1. Scope

These terms apply to Junctura Finance, offered by Soami GmbH, Obermillstatt 196, 9872 Millstatt, Austria, under the junctura brand (hereinafter junctura). They apply exclusively to businesses within the meaning of § 1 of the Austrian Commercial Code (UGB). The customer's terms only apply if junctura agrees to them in writing. Anything agreed in the offer or in a separate contract takes precedence over these terms. Other junctura services, such as AI implementation projects, are agreed separately.

2. Service

junctura sets up and operates a dedicated instance of Junctura Finance for the customer. This includes capturing and reading receipts with AI, matching them with bank transactions, reports, exports for the tax adviser, the assistant Jai and an interface for the customer's own AI tools. Operation includes updates, daily encrypted backups, support and adapting the exports to the templates of the customer's accounting firm. Use of the AI is included in the price.

The instance runs on a server and backup storage in the customer's own account with a hosting provider (currently Hetzner Online GmbH). The customer concludes that contract, including the data processing agreement with the hosting provider, and pays for it directly. junctura receives access to this server for setup and operation.

3. Plans and prices

Junctura Finance is offered as a monthly subscription at a fixed price in plans based on the number of receipts per month. Plan and price are set out in the offer. If a month's quota is exceeded, the instance keeps working without restriction; junctura will then offer a move to the appropriate plan. A one-off import of older receipts beyond the quota is charged separately according to the offer. All prices are net prices plus statutory VAT.

4. Payment

The subscription is billed monthly in advance through the payment service Stripe, by SEPA direct debit or card. The customer manages invoices, payment methods and cancellation in the customer portal, available in the app under Settings (manage subscription). If a payment remains outstanding despite a reminder, junctura may suspend access to the AI features after notice until payment is received. Access to data already captured remains unaffected.

5. Term and termination

The contract runs for an indefinite period with no minimum term. Either party may terminate it at the end of the current billing month, the customer in the customer portal or by email to office@junctura.ai. The right to terminate for good cause remains unaffected.

6. AI results

Junctura Finance reads receipts with AI, suggests categories, accounts and matches, and answers questions. These results are marked as AI results in the app and may contain errors. The customer checks them before using them, in particular before handing them to the tax adviser. Junctura Finance is not tax or legal advice; responsibility for bookkeeping, tax returns and record retention remains with the customer and their accounting firm.

7. Bank connection

On request, the instance fetches account transactions directly from the bank. For this, junctura uses the authorised account information service Enable Banking Oy, Finland. The customer gives consent to the access at their bank themselves. Access is read only; no payments can be initiated through it. Consent is valid for 90 to 180 days depending on the bank and must then be renewed by the customer; the app sends a reminder in good time. Whether and for how long a bank provides data is outside junctura's control. Importing bank statements as files is always available as an alternative. junctura holds the application with Enable Banking for the customer; it ends with this contract.

8. Customer obligations

The customer maintains the contract with the hosting provider, protects the access of its users and does not upload content whose processing is unlawful. It informs its employees about the processing of their data; junctura provides a template on request. The customer coordinates its own changes to server or software with junctura in advance. It ensures that its users comply with the terms of use.

9. Right of use

junctura does not sell a software licence but operation and support. For the term of the contract, the customer receives the non-exclusive and non-transferable right to use Junctura Finance for its business. The software remains the property of junctura. Modifying it, passing it on or continuing to operate it after the contract ends, including with the customer's own access to AI services, is not permitted without junctura's written consent. The customer's data remains fully its own.

10. Data protection

For the data in the instance, the customer is controller and junctura is processor. The parties conclude a data processing agreement under Art. 28 GDPR. The sub-processors used are listed in the privacy policy; junctura informs the customer of changes in advance.

11. End of contract

Before the contract ends, junctura provides the customer on request with a complete export of its receipts including the original files and of its accounting data in common formats, so that it can meet its retention obligations. When the contract ends, updates, backups by junctura, access to the AI services, email sending, the bank connection and support end. The server and the data on it remain with the customer; the customer deletes the software from the server or has junctura delete it.

12. Availability

junctura operates the instance with the care of a prudent businessperson but does not guarantee any particular availability. Updates are usually installed at night. junctura is not responsible for outages at the hosting provider, the bank, Enable Banking or the AI services; new receipts are then processed later.

13. Liability

junctura is liable without limitation for damage caused intentionally or by gross negligence and for personal injury. Liability for slight negligence is excluded. Liability for lost profits, consequential damage and damage resulting from unchecked AI results is excluded to the extent permitted by law and otherwise limited to the fees paid by the customer in the last twelve months.

14. Changes

junctura may amend these terms with effect for the future and announces changes by email at least 30 days in advance. If the customer does not agree, it may terminate as of the date the changes take effect.

15. Final provisions

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict of laws rules. The place of jurisdiction is the court with subject-matter jurisdiction for Millstatt. If any provision is invalid, the remainder of the contract remains valid.
